  1. Acceptance of Terms

Operation Research Inc. and its affiliates (“Operation Research Inc.”, “we”, “us”, or “our”) provide a cloud-based Software as a Service (SaaS) application under the brand name PayApps.ai (“the Service”). By accessing or using the Service, you agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Service.

  1. Access to and Use of the Service

2.1. Eligibility

You may use the Service only if you can form a binding contract with Operation Research Inc. and only in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations. The Service is available only to users located in the United States.

2.2. Account Registration

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as needed. You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your username and password. You agree to notify us immediately of any unauthorized use of your account.

  1. Use of the Service

3.1. License

We grant you a non-transferable, non-exclusive, revocable license to use the Service for your internal business purposes, subject to these Terms.

3.2. Prohibited Activities

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission from us.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service or its related systems or networks.
  • Use the Service to store or transmit malicious code.
  1. Content Ownership

4.1. User Content

You retain ownership of all content you submit, post, or display on or through the Service (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content for the purposes of operating and providing the Service.

4.2. Our Content

All materials provided by us, including but not limited to software, design, text, and graphics, are owned by us or our licensors. You may not use, copy, or distribute any of these materials without our express written permission.

4.3. Ownership of PayApps.ai

All rights, title, and interest in and to the Service, including all intellectual property rights, are and will remain the exclusive property of Operation Research Inc. and its licensors. The content, features, and functionality provided by the Service under the brand name PayApps.ai are protected by copyright, trademark, and other laws of both the United States and foreign countries. You acknowledge that you do not acquire any ownership rights by using the Service.

  1. Subscription and Payment

5.1. Subscription Terms

The Service is billed on a subscription basis (“Subscription”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set on a monthly or annual basis, depending on the subscription plan you select.

5.2. Payment Methods

We use a third-party payment processor to bill you through a payment account linked to your account on the Service. You agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable.

  1. Account Cancellation

6.1. Voluntary Cancellation

You may cancel your account at any time through the account settings. Upon cancellation, your access to the Service will terminate at the end of the current Billing Cycle.

6.2. Termination in case of breach

If you breach the Terms, we may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, including without limitation for any reason whatsoever.

  1. Disclaimers

7.1. No Warranty

The Service is provided “AS IS” and “AS AVAILABLE”. Your use of the Service is at your own risk. To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Operation Research Inc. and its subsidiaries, affiliates, and licensors do not warrant that the content is accurate, reliable, or correct; that the Service will meet your requirements; that the Service will be available at any particular time or location, uninterrupted or secure; or that any defects or errors will be corrected. Any content downloaded or otherwise obtained through the use of the Service is downloaded at your own risk and you will be solely responsible for any damage to your computer system or mobile device or loss of data that results from such download or your use of the Service.

7.2. Limitation of Liability

To the maximum extent permitted by applicable law, Operation Research Inc., its affiliates, agents, directors, employees, suppliers, or licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising from (i) your use or inability to use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service; and/or (vi) user content or the defamatory, offensive, or illegal conduct of any third party. In no event shall Operation Research Inc., its affiliates, agents, directors, employees, suppliers, or licensors be liable to you for any claims, proceedings, liabilities, obligations, damages, losses, or costs in an amount exceeding the amount you paid to Operation Research Inc. This limitation of liability section applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Operation Research Inc. has been advised of the possibility of such damage.

  1. Governing Law and Dispute Resolution

8.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

8.2. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of these Terms to arbitrate, shall be determined by arbitration in Delaware, before one arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA) pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

  1. Miscellaneous

9.1. Entire Agreement

These Terms constitute the entire agreement between you and Operation Research Inc. regarding the use of the Service and supersede all prior or contemporaneous written or oral agreements between you and Operation Research Inc.

9.2. Waiver and Severability

The failure of Operation Research Inc. to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

9.3. Assignment

These Terms and any rights and licenses granted hereunder may not be transferred or assigned by you but may be assigned by Operation Research Inc. without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

  1. Notifications

We may provide notifications, whether such notifications are required by law or are for marketing or other business-related purposes, to you via email notice, written or hard copy notice, or through posting of such notice on our website, as determined by us in our sole discretion. We reserve the right to determine the form and means of providing notifications to you, provided that you may opt out of certain means of notification as described in these Terms and our Privacy Policy.

  1. Third-Party Links and Integrations

11.1. Third-Party Links

The Service may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by Operation Research Inc. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website from the Service, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of those sites. You expressly relieve Operation Research Inc. from any and all liability arising from your use of any third-party website, service, or content.

11.2. Third-Party Integrations

The Service may integrate with third-party services. Operation Research Inc. will seek your consent to share your content with these services but will not be responsible for how such third parties manage your information or content. Furthermore, Operation Research Inc. will not be responsible for keeping third-party services’ data up-to-date or consistent with your content.

  1. Indemnification

You agree to defend, indemnify, and hold harmless Operation Research Inc. and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from (i) your use of and access to the Service, including any data or content transmitted or received by you; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including any right of privacy or intellectual property; (iv) your violation of any applicable law, rule, or regulation; (v) any claims or damages that arise as a result of your User Content or any content submitted via your account; or (vi) any other party’s access to and use of the Service with your unique username, password, or other security code.

  1. Acceptable Use Policy

You agree not to misuse the Service. For example, you must not and must not attempt to do the following:

  • Use the Service for any unlawful purpose or for promotion of illegal activities.
  • Post any content on the Service in violation of any applicable law, including intellectual property laws and rights of privacy or publicity, or any contractual obligation.
  • Impersonate others through the Service or otherwise misrepresent your affiliation with a person or entity.
  • Publish or post other people’s private or personally identifiable information without their express authorization and permission.
  • Send unsolicited communications, promotions, advertisements, or spam.
  • Publish or link to malicious content intended to damage or disrupt another user’s browser or computer, or to compromise a user’s privacy.
  • Access, tamper with, or use non-public areas of the Service, Operation Research Inc.’s computer systems, or the technical delivery systems of Operation Research Inc.’s providers.
  • Probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures.
  • Access or search the Services by any means other than our publicly supported interfaces.
  • Forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Service to send altered, deceptive, or false source-identifying information.
  • Interfere with or disrupt the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Service, or by scripting the creation of content in such a manner as to interfere with or create an undue burden on the Service.
  1. Monitoring and Enforcement

Operation Research Inc. reserves the right, but is not obligated, to monitor access to or use of the Service or to review or edit any content for the purpose of operating the Service, ensuring compliance with these Terms, or complying with applicable law or other legal requirements. We reserve the right to remove or disable access to any content at any time and without notice, if we, at our sole discretion, consider it to be objectionable or in violation of these Terms. We also reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms, including without limitation, reporting you to law enforcement authorities.

  1. Feedback

Any feedback, comments, or suggestions you may provide regarding Operation Research Inc., or the Service is entirely voluntary, and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you.

  1. Data Protection

We are committed to protecting your privacy and complying with applicable data protection laws. Our Privacy Policy explains how we collect, use, and share information about you when you use our Service. By using the Service, you consent to the collection, use, and sharing of such information as described in our Privacy Policy.

  1. Export Compliance

You must comply with all domestic and international export laws and regulations that apply to your use of the Service. These laws include restrictions on destinations, end users, and end use. You represent and warrant that you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a “terrorist supporting” country, and that you are not listed on any U.S. government list of prohibited or restricted parties.

Refund and Cancellation Policy

Introduction

Operation Research Inc. (“we,” “us,” or “our”) is committed to providing transparency and clarity regarding our subscription terms. This Refund and Cancellation Policy outlines the terms and conditions for cancellations and credits for the PayApps.ai service.

Cancellation Policy

  1. Monthly Subscriptions: You may cancel your monthly subscription at any time. Cancellation will take effect at the end of the current billing cycle. You will continue to have access to the Service until the end of your subscription period.
  2. Annual Subscriptions: Annual subscriptions can be cancelled at any time. If you cancel your annual subscription, the cancellation will take effect at the end of the current billing cycle. No refunds will be issued for annual subscriptions.
  3. How to Cancel: To cancel your subscription, please log in to your account and follow the cancellation instructions or contact our support team support@payapps.ai

Upgrade Policy

  1. Upgrading Your Subscription: If you choose to upgrade your subscription plan, any remaining balance from your current subscription will be credited towards the upgraded subscription. However, this is applicable only when you are upgrading to Annual Subscription plan. This credit will be applied to your account and will be used to offset the cost of the new subscription plan.
  2. Processing Credits: The credit for any remaining balance from your current subscription will be automatically applied to your account upon upgrading.

Refund Policy

  1. No Refunds: We do not provide refunds for any subscriptions, whether monthly or annual. For exceptions, please refer to the Upgrade Policy clause.

Changes to This Policy

We may update this Refund and Cancellation Policy from time to time. We will notify you of any changes by posting the new policy on our website. The date at the top of this policy indicates when it was last updated.
